VANLY Marketplace – Terms & Conditions

Thank you for using Vanly Marketplace (“Vanly”, “we”, “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website vanly-marketplace.co.uk and any related mobile applications (collectively, the “Site”).
By accessing or using the Site, you agree to be bound by these Terms, our Promotion Terms (where applicable), and our Privacy Policy . If you do not agree, please do not use the Site.
1. Introduction
1.1 These Terms govern your use of the Vanly Marketplace platform operated by Vanly Marketplace Ltd, a UK registered company (Company Number 15451462, Registered Office: 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ).
1.2 Vanly operates as a digital logistics marketplace connecting Shippers with independent Drivers and Fleet Operators. Vanly acts as principal when contracting with Shippers and fulfils jobs through vetted self-employed Drivers and Fleet Operators. Vanly is not a courier company employing drivers.
1.3 By creating an account or using the Site, you agree to be legally bound by these Terms and any supplementary agreements relevant to your user category.
1.4 You may browse the Site without registering. However, to access services, you must create an account.
1.5 You are solely responsible for all activity conducted under your account, whether authorised or not, including financial obligations.
1.6 You must safeguard your login credentials and notify us immediately of any unauthorised access.
1.7 By registering, you consent to receiving transactional and promotional emails and agree to our use of cookies as described in our Privacy Policy.
1.8 Duplicate accounts are prohibited. Vanly reserves the right to terminate duplicate or related accounts.
2. User Categories & Contracting Structure
- • Shippers: Individuals or businesses contracting with Vanly for delivery services.
- • Drivers: Independent, self-employed subcontractors providing services via the platform.
- • Fleet Operators: Companies providing delivery services through their own drivers.
- • Users: All persons accessing the Site.
Drivers and Fleet Operators are independent contractors and are not employees, agents, or representatives of Vanly.
3. Registration & Membership
3.1 General Requirements
- • Complete registration form.
- • Select applicable membership (if relevant).
- • Provide valid email and payment details.
- • Maintain accurate and up-to-date information.
3.2 Driver Requirements
- • Valid driving licence and right-to-work documentation.
- • NI number and identity documents.
- • Vehicle documents (MOT, V5C, registration).
- • Insurance: Goods-in-Transit (£50,000+), Public Liability (£5m+), Hire & Reward.
- • DBS check (subject to review).
- • VAT status declaration.
- • Acceptance of Driver Agreement and GPS tracking consent.
3.3 Fleet Operator Requirements
- • Company registration and VAT details.
- • Insurance certificates.
- • Responsible officer appointment.
- • Driver compliance documentation.
3.4 Shipper Requirements
- • Company identity and VAT details.
- • Billing authority confirmation.
- • Confirmation of lawful packaging and goods compliance.
4. Platform Use & Conduct
4.1 Membership & Pay-Per-Order
- • Shippers may subscribe monthly/annually or use Pay-Per-Order.
- • Memberships auto-renew unless cancelled before renewal date.
4.2 Acceptable Conduct
Users must act lawfully and respectfully. Abusive, threatening, harassing, sexually explicit, or inappropriate behaviour is prohibited.
Vanly may suspend or terminate accounts for misconduct and may cooperate with law enforcement investigations where necessary.
5. Operational Rules
- • Goods are deemed in driver custody upon pickup scan.
- • GPS tracking operates from job start until Proof of Delivery (POD).
- • GPS data retained for 12 months.
- • POD records retained for 3 years.
- • Account data retained for 6 years post-closure.
- • Claims for lost/damaged items are directed to Driver/Fleet Operator Goods-in-Transit insurance. Vanly assists with documentation but is not the insurer.
- • Breakdowns may result in reallocation or return to sender.
- • Police involvement occurs where theft or misconduct is suspected; escalated on high-value losses or repeated suspicious activity.
6. Payments, Fees, Refunds, and Cancellations
6.1 Payment Processing
All payments on the Platform are processed securely via Stripe or other approved payment providers.
6.2 Membership Plans and Pay-Per-Order (PPO)
- • Membership fees are disclosed at the time of sign-up and available within your account dashboard.
- • Pay-Per-Order (PPO) users are charged per delivery request.
- • PPO fees may vary depending on location, distance, urgency, or service type and are subject to change.
6.3 Refunds and Cancellations
- • Full Refund: Where delivery failure is due to fault of Vanly or the assigned Driver.
- • Partial Refund: Where significant delay is caused by Driver or platform fault.
- • No Refund: Where cancellation occurs after job acceptance, incorrect delivery details are provided, access issues arise, or delays are caused by third parties or external events.
- • All refund requests must be submitted directly to Vanly. Refund decisions are made at Vanly’s sole discretion.
6.4 Driver & Fleet Operator Payments
Drivers and Fleet Operators are paid following successful completion of delivery and Proof of Delivery (POD), subject to verification and self-billing procedures.
6.5 Taxes and Duties
All applicable taxes, customs duties, VAT, and other charges are the sole responsibility of the User unless explicitly stated otherwise.
7. Prohibited Goods
A list of prohibited goods is detailed within the Shipper/Business Terms and may include (without limitation):
- • Illegal or stolen items
- • Hazardous or dangerous materials
- • Unsafe or poorly packaged goods
- • Misdeclared, restricted, or controlled items
- • Items prohibited under UK law or transport regulations
8. Employment Status & Control
- • Drivers and Fleet Operators are independent contractors and are not employees, workers, or agents of Vanly.
- • Drivers may freely accept or reject jobs.
- • No fixed shifts, minimum hours, or exclusivity requirements apply.
- • Drivers determine their own routes and working methods.
- • Nothing in these Terms creates employment, worker status, partnership, or agency.
9. Data Protection and Privacy
- • Vanly processes personal data in accordance with UK GDPR and the Data Protection Act 2018.
- • Our full data practices are described in our Privacy Policy .
- • By using the Platform, you consent to cookies and data processing as described therein.
10. Intellectual Property
10.1 Ownership
The Site and all associated content, including text, graphics, images, software, data compilations, and code, are owned by Vanly or its licensors and are protected under UK and international intellectual property laws.
10.2 Limited Licence
Vanly grants you a limited, non-exclusive, non-transferable licence to access and use the Site for personal, non-commercial purposes only.
You may not:
- • Republish, reproduce, copy, sell, rent, or distribute Site materials;
- • Modify or create derivative works from Site content;
- • Remove copyright or trademark notices;
- • Frame or alter visual presentation without written consent;
- • Bypass security or protection features;
- • Use the Site for unlawful purposes;
- • Exploit or harm minors;
- • Send spam or unauthorised marketing communications;
- • Engage in conduct that harms Vanly or its Users.
10.3 Trademarks
All trademarks, service marks, and trade names displayed on the Site are owned by Vanly or their respective owners. You may not use them without prior written consent.
10.4 Licence Nature
The Site is licensed, not sold. You do not acquire ownership rights through use. Vanly retains all rights not expressly granted under these Terms.
10.5 User Content
You may submit reviews, feedback, or other content (“Content”) through the Platform. You retain ownership of your Content. However, by submitting Content, you grant Vanly a worldwide, perpetual, royalty-free, irrevocable, transferable, and sublicensable licence to use, reproduce, adapt, publish, distribute, publicly display, and otherwise exploit such Content without compensation.
You agree that Content submitted must not be unlawful, defamatory, misleading, hateful, harassing, or otherwise inappropriate. This licence survives termination of your account.
11. Liability, Indemnity, and Disclaimers
11.1 Limitation of Liability
To the fullest extent permitted by law, Vanly excludes all liability arising from your use of the Site. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be lawfully excluded.
11.2 Loss or Damage to Goods
Vanly is not liable for loss of or damage to goods during delivery. Any claims must be directed to the relevant Driver or Fleet Operator’s Goods-in-Transit insurance provider.
11.3 Suspension Rights
Vanly reserves the right to suspend or restrict access to the Platform where Users fail to comply with these Terms, hold expired documentation, or breach operational or safety requirements.
11.4 Indemnity
You agree to indemnify, defend, and hold harmless Vanly, its officers, employees, agents, affiliates, and contractors from and against any and all liabilities, claims, damages, losses, costs, or expenses (including legal fees) arising from your use of the Site or breach of these Terms.
11.5 Disclaimer of Warranties
The Site and Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied.
12. Termination, Monitoring, and Suspension
- • Vanly may immediately suspend or terminate accounts for fraud, expired insurance, unsafe conduct, theft, misrepresentation, breach of these Terms, or at its sole discretion.
- • You may terminate your account at any time via your account dashboard or by contacting support.
- • Provisions relating to intellectual property, liability, indemnity, and dispute resolution survive termination.
13. Dispute Resolution and Arbitration
- • All disputes shall be resolved exclusively through final and binding arbitration, as set out in the Mutual Arbitration Provision.
- • You waive the right to participate in class actions or private attorney general actions.
- • You may opt out of the arbitration provision within 30 days of creating your account.
14. Updates
Vanly may develop and provide updates, upgrades, bug fixes, patches, new features, or functionality modifications (“Updates”) at its sole discretion. Vanly is under no obligation to provide Updates or maintain specific features. All Updates form part of the Site and are governed by these Terms.
14.1 Automatic Updates
Where you use Vanly’s mobile applications, Updates may be delivered automatically, including over-the-air installations. By using the app, you consent to such automatic Updates. Vanly is not liable for loss of data or functionality resulting from Updates. You are responsible for ensuring adequate internet access or mobile data coverage, including any associated costs.
15. Availability
Vanly reserves the right to withdraw, suspend, or amend the Site at any time without notice. Vanly is not liable for temporary or permanent unavailability.
- • Access may be restricted for maintenance, upgrades, or security reasons.
- • You are responsible for obtaining necessary hardware and internet access.
- • Vanly may disable any username or password at its sole discretion if these Terms are violated.
16. General
- • These Terms constitute the entire agreement between you and Vanly.
- • No assignment of rights or obligations is permitted without Vanly’s written consent.
- • These Terms are governed by the laws of England and Wales.
- • Section headings are for convenience only and do not affect interpretation.
- • Nothing in these Terms creates employment, partnership, joint venture, or franchise relationships.
